Terms of Service

1. Acceptance of Terms

By accessing or using the NeighborhoodConnect platform, mobile application, or website (collectively, the "Service"), operated by NeighborhoodConnect Ltd (Company number 17051993, registered at 128 City Road, London, United Kingdom, EC1V 2NX), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. Your continued use of the Service constitutes acceptance of any updates or modifications to these Terms.

2. Service Description

NeighborhoodConnect operates a contractor job marketplace that connects licensed and qualified contractors ("Contractors") with homeowners and property managers ("Customers") who need services performed. The platform facilitates:

• Job dispatch and matching between Customers and Contractors
• Communication between parties regarding job scope and scheduling
• Payment processing for completed work
• Review and reputation management
• Contractor profile and availability management

NeighborhoodConnect is not a contracting company and does not perform any services directly. We serve solely as a technology platform connecting Contractors with Customers.

3. User Accounts and Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized use of your account

Contractors must additionally hold all licenses, permits, and insurance required by their jurisdiction to perform the services they offer through the platform.

4. Contractor Responsibilities

As a Contractor on the platform, you agree to:

• Maintain valid licensing and insurance for your trade
• Set your own prices and availability
• Perform all accepted work in a professional and timely manner
• Communicate clearly with Customers about scope, timeline, and pricing
• Comply with all applicable local, state, and federal laws
• Not discriminate against Customers on any legally protected basis
• Respond to job requests within the designated timeframe

You acknowledge that you are an independent contractor and not an employee, agent, or representative of NeighborhoodConnect.

5. Payment Terms

Contractors set their own prices for services. When a job is completed and confirmed, payment is processed through the platform. NeighborhoodConnect charges a platform fee on each transaction, which is disclosed to Contractors before they accept a job.

• Payment is released to Contractors after job completion and Customer confirmation
• Platform fees are deducted automatically from each transaction
• Contractors are responsible for their own tax obligations
• Disputes regarding payment will be handled through our resolution process
• NeighborhoodConnect reserves the right to hold funds pending dispute resolution

6. Customer Ownership

Contractors retain full ownership of their customer relationships. When you connect with a Customer through our platform:

• You keep the Customer's contact information
• You may continue working with the Customer outside the platform for future jobs
• NeighborhoodConnect will not restrict your direct relationship with Customers
• Customer data you receive is subject to applicable privacy laws

This is a core principle of our platform: you build your business, and every customer you serve is yours to keep.

7. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by NeighborhoodConnect and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without written permission.

Content you submit to the platform (reviews, photos, profile information) remains yours, but you grant NeighborhoodConnect a non-exclusive, royalty-free license to use, display, and distribute such content in connection with operating the Service.

8. Limitation of Liability

To the maximum extent permitted by law, NeighborhoodConnect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

NeighborhoodConnect does not guarantee the quality, safety, or legality of services performed by Contractors. We are not responsible for any disputes between Contractors and Customers regarding the quality or outcome of work performed.

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount of fees paid by you to NeighborhoodConnect in the twelve (12) months preceding the claim.

9. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through the following process:

1. Informal resolution: Contact us at help@thelocalintent.company to attempt resolution
2. Mediation: If informal resolution fails, parties agree to mediate in good faith
3. Binding arbitration: Unresolved disputes will be settled by binding arbitration in accordance with the rules of the American Arbitration Association

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

10. Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or conduct that harms other users or the platform. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, dispute resolution, and intellectual property) shall remain in effect.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the app at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
